1. Agreement to Terms

By accessing or using reiwasakura.tech or any Reiwa Sakura Tech service (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the Service.

These Terms apply to all visitors, clients, candidates, and team members who access or use the Service.

2. Description of Service

Reiwa Sakura Tech provides enterprise software development services including web development, mobile applications, cloud infrastructure, AI/ML integration, and technical consulting ("Services"). The website serves as a marketing portal, portfolio showcase, and gateway to our internal platforms.

3. Client Engagements

3.1 Project Agreements

All client engagements are governed by a separate Statement of Work ("SOW") or Master Service Agreement ("MSA") signed between Reiwa Sakura Tech and the client. In case of conflict between these Terms and a signed SOW/MSA, the signed document prevails.

3.2 Intellectual Property

• Upon full payment, clients receive full ownership of custom-built code and assets produced specifically for their project
• We retain the right to use the project in our portfolio and case studies unless otherwise agreed in writing
• Open-source components, libraries, and frameworks remain under their respective licences
• Internal tooling, frameworks, and methodologies developed by Reiwa Sakura Tech remain our property

3.3 Confidentiality

Both parties agree to keep confidential information shared during an engagement private. We do not disclose client information, business logic, or proprietary data to third parties without written consent.

4. Platform Access

Access to internal portals (admin, developer hub, career portal, documentation) is restricted to authorised team members and clients. By accessing these portals you agree to:

• Keep your credentials confidential and not share them with others
• Use the platform only for its intended business purpose
• Report any security vulnerabilities to security@reiwasakura.tech rather than exploiting them
• Not attempt to access data or systems beyond your authorised scope

5. Acceptable Use

You agree not to use this website or our services to:

• Violate any applicable laws or regulations
• Transmit malware, viruses, or any malicious code
• Attempt unauthorised access to our systems or third-party systems
• Scrape, harvest, or copy content without written permission
• Impersonate another person or entity
• Engage in any activity that disrupts or degrades our services

6. Payment Terms

• Invoices are due within 30 days of issuance unless otherwise specified in the SOW
• All prices are quoted in Japanese Yen (JPY) unless otherwise agreed
• Late payments accrue interest at 1.5% per month after the due date
• We reserve the right to suspend services for accounts overdue by 60 days or more
• Refunds are handled on a case-by-case basis per the terms of the signed SOW

7. Disclaimer of Warranties

The website and its content are provided "as is" without warranties of any kind, expressed or implied. We do not warrant that the site will be uninterrupted, error-free, or free of viruses. We make no representations about the accuracy or completeness of any content on this site.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Reiwa Sakura Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of this website or our services. Our total liability to any client shall not exceed the total fees paid to us in the three months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Reiwa Sakura Tech, its officers, team members, and agents from any claims, damages, or expenses arising from: (a) your use of the Service in violation of these Terms; (b) content you provide to us; or (c) your violation of any law or third-party rights.

10. Governing Law

These Terms are governed by the laws of Japan. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court, unless otherwise agreed in a signed engagement agreement.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes take effect immediately upon posting. Your continued use of the Service after changes are posted constitutes acceptance. We will make reasonable efforts to notify active clients of material changes.

12. Termination

We may terminate or suspend access to the Service at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, all provisions of these Terms which by their nature should survive will survive.
